 About the Role

The General Counsel will serve as the most senior legal and compliance executive, acting as a key advisor to the executive leadership team and board of directors.

This role is responsible for ensuring the company operates within an increasingly complex and evolving regulatory environment, while enabling strategic growth across capital markets, cross-border investments, and digital asset-related initiatives.

The position requires a strong balance of legal expertise, regulatory insight, and commercial judgment in a highly dynamic and emerging industry.

Responsibilities

Corporate Governance & Board Advisory

• Provide strategic legal guidance to the board and executive leadership
• Design and enhance corporate governance frameworks
• Oversee disclosure obligations and listed-company compliance

Regulatory Affairs (Financial & Digital Assets)

• Ensure compliance with applicable corporate, financial, and securities regulations
• Monitor evolving regulatory developments in digital asset markets
• Engage with regulators and support formal regulatory communications

Cross-Border Legal Matters

• Support negotiation and structuring of international partnerships and investor agreements
• Manage multi-jurisdictional legal and regulatory considerations (including US and Europe)
• Advise on global capital market transactions and cross-border risk exposure

Corporate Legal & Transactions

• Review and structure investment, financing, and capital market agreements
• Support complex corporate structuring initiatives
• Manage external legal counsel relationships globally

Compliance & Risk Management

• Develop and maintain internal compliance frameworks and policies
• Strengthen insider trading prevention and internal controls
• Oversee ESG-related disclosures and regulatory risk management

Strategic Legal Advisory (Digital Asset Treasury Strategy)

• Provide legal structuring support for digital asset treasury operations
• Assess legal risks related to investment and financing strategies
• Advise on new business initiatives in emerging digital and blockchain-related ecosystems

Requirements

Essential Requirements

• 10+ years of experience in corporate law, financial regulation, or equivalent fields
• Strong knowledge of capital markets, securities, and regulatory frameworks
• Proven experience in cross-border transactions or regulatory matters
• Ability to engage effectively with senior executives and board members
• Business-level proficiency in English

Preferred Qualifications

• Experience at financial regulatory authorities or central banks
• Licensed attorney in any jurisdiction (Japan or international)
• Background in digital assets, fintech, or financial innovation sectors
• Experience in international organizations or policy institutions
• Exposure to investment banking, hedge funds, or global financial institutions
